SECURE 2.0 was signed into law by President Biden on December 29, 2022, as part of the 2023 Consolidated Appropriations Act. Secure 2.0 seeks to expand retirement plan coverage and provide for opportunities to increase savings, while facilitating plan operations and compliance with applicable rules and guidance.
This webinar will focus on:
- Key provisions of SECURE 2.0 that impact plan sponsors, highlighting the relevant effective dates, with a focus on changes effective in 2024;
- Discussion of new plan design options, including changes to matching contributions, small financial incentives to encourage participation, and penalty free withdrawals options, available beginning in 2024;
- Differentiating among the changes that apply only to defined contribution plans or only to defined benefit plans, and the changes that apply to both;
- Providing an overview of how SECURE 2.0 impacts the correction of compliance failures and the methods by which plan operations might be revised to avoid defects before they occur; and
- Overview of Internal Revenue Service guidance on required minimum distributions (RMDs) and Roth catch-up requirements, including transitional relief.

Yatindra practices in the areas of qualified and nonqualified retirement plans, multiemployer plans and executive compensation.
He assists clients with plan document drafting, plan compliance programs and plan audits. Yatindra supports plan sponsors with day-to-day administrative efforts, including benefit claims and appeals, QDRO determinations, and participant communications. He advises retirement plan committees and boards of trustees on implementing changes in law, adopting plan amendments, and addressing administrative appeals. Yatindra also represents plan fiduciaries in Department of Labor investigations and has significant experience with tax-qualification and other Internal Revenue Code issues for multiemployer pension plans.
Yatindra works with plan sponsors to obtain relief under IRS correction procedures for operational failures of nonqualified deferred compensation plans. In addition, he works on 409A compliance and advises plans on correcting FICA tax withholding errors. He also prepares Code Section 457(f) deferred compensation plans for tax-exempt organizations, and has experience drafting equity grants and agreements for equity compensation plans.
He has been recognized as a "Rising Star" by the Northern California Super Lawyers since 2021.

Nicolas D. Deguines focuses his practice on representing employers in Employee Retirement Income Security Act of 1974 (ERISA), employee benefits, and executive compensation matters. He concentrates in the area of retirement plans and advises clients on issues regarding 401(k) plans, cash balance plans, money purchase plans, and defined benefit plans. He also regularly works with multiemployer plans, 403(b) plans, 457(b) plans, and nonqualified deferred compensation plans.
Nicolas regularly advises clients in the following areas:
- Drafting plan documents, plan amendments, SPDS, SMMs, and other participant notices;
- Drafting resolutions and plan amendments for plan mergers, terminations, spinoffs, and freezes;
- Preparing applications under IRS and DOL correction programs, including the EPCRS, VCP, and DFVCP;
- Reviewing and negotiating service provider agreements and investment management agreements;
- Preparing plan committee charters, bylaws, and resolutions;
- Providing fiduciary training to plan committees or to others who serve as the fiduciary of ERISA plans;
- Conducting M&A due diligence;
- Resolving compliance issues raised in connection with investigations or audits by the DOL or IRS;
- Preparing submission to the IRS and DOL, including Form 5500, Form 5310, and the Top Hat Plan Statement;
- Drafting 457(b) plans, restricted stock purchase plans, restricted stock agreements, and promissory notes;
- Counseling clients on law changes, including the CARES Act, SECURE 1.0 and Secure 2.0;
- Counseling clients on DOL and IRS guidance, including cybersecurity, ESG and cryptocurrency;
- Counseling clients on the controlled group and affiliated service group rules;
- Counseling clients on ERISA’s prohibited transaction rules and exemptions; and
- Reviewing Qualified Domestic Relations Orders and Power of Attorney documents submitted to plans.
