Retirement Plan Issues in Mergers and Acquisitions?

The Presentation:

When companies are bought and sold, retirement plans are often an afterthought.  Learn all about ways to handle changes in ownership, what questions to ask, and best practices and tricks of the trade in helping plan sponsors evaluate plan design options and keep their plans in compliance.

Attendees will learn and understand --

  1.  The differences between an asset sale, a stock sale and a company merger;
  2.  What options are available in each scenario for dealing with retirement plans and pros and cons of each approach; and
  3.  How to correctly use the transition rule to ease testing issues when ownership changes occur.
Our Speaker: James C. Paul
Jim Paul has practiced employee benefits law for over 29 years, and he is honored to be named as one of Sacramento’s Top Lawyers. Paul Benefits Law provides practical and understandable advice, guidance and support for employers, plan sponsors, governmental agencies and other clients about employee benefit plans. Jim counsels companies big and small, including Fortune 500 companies, on 401(k) plan compliance and corrections, executive deferred compensation, benefits issues in mergers and acquisitions and fiduciary issues. In 2010, Jim was elected to the American College of Employee Benefits Counsel, the highest honor awarded to employee benefits lawyers. Jim speaks often on employee benefits topics. He serves on the Leadership Council for the American Society of Pension Professionals & Actuaries (ASPPA) and has served as Co-Chair of ASPPA’s Government Affairs Committee. Jim also proudly serves on the Board of Directors for KVIE Public Television.
